In the recent lawsuit against Apple, brought by David Einhorn and Greenlight Capital, which contends that Apple’s desire to eliminate their Preferred Stock payouts to stockholders in the form of a proposal to change the charter of the company itself. Securities and Exchange Commission rules state that a company cannot ‘bundle’ an undesirable proposal with other proposals to force a vote on the undesirable one. It was this that Apple was attempting to do. In one stockholder vote, Apple wanted to group into a single vote proxy proposals that would require a majority rule in voting for company directors and an establishment of a par value for each Apple stock share with the last being the one that David Einhorn as well as others had a problem with.
Einhorn wanted Apple to keep offering preferred stocks as he is one of the major stockholders in the company and preferred stock pays out more than other investment options. Continue reading »

In February, the Apple Company met its match in David Einhorn. Einhorn is a hedge fund manager for Greenlight Capital and filed a lawsuit against the tech firm seeking to stop the company’s proxy proposal that all preferred stock sales be stricken from the company’s charter. This does a couple of things. First, it reduces the amounts that Apple must pay to stockholders in dividends and saves the company money. Second, it frees up the nearly $137 billion dollars the company has in cash reserves to use toward other purposes.
Apple wanted to make the elimination of preferred stock a part of a package of other proposals that would receive an up or down vote by the shareholders at the annual meeting. Einhorn argues that the proxy proposal violates SEC rules, Section 14 specifically of the SEA of 1934. This section forbids companies grouping several different matters, or ‘bundling’ them together into one proposal for the shareholders to vote on. Continue reading »

A VPN or virtual private network utilizes public access of the internet via remote access, LAN to LAN internet (Local Area Network) and controlled access. This allows the employees of a company to access their company’s corporate intranet no matter where they are located. While the VPN uses public access to connect people to the intranet of their specific company, the security features keep those who are not allowed into the intranet from connecting.
Along with the convenience factor of the VPN come the natural problems with using them. There are truly some advantages and disadvantages to using the VPN, some of the disadvantages include the potential of running into incompatible vendor software packages.
